Agreement to these terms

Premier Finance ("Premier Finance", "we", "us" or "our") is a Dubai-based mortgage advisory and brokerage firm operating across the United Arab Emirates and part of the Provident Real Estate group. By accessing the Website, making an enquiry, or asking us to arrange finance for you, you ("you", "your" or the "Client") confirm that you are at least 18 years old, that you have authority to enter into these Terms (including on behalf of any company you represent), and that you accept these Terms.

Where we issue a written engagement letter, fee agreement or similar document for your case, it forms part of the contract between us. If there is a conflict, that document prevails over these Terms for that case only.

Our services

We help clients find and arrange property finance in the UAE, including mortgages for ready property, off-plan finance, buy and cash out (equity release and mortgage transfers), commercial mortgages, mortgages for non-residents and land financing. Our Services may include assessing what you can borrow, comparing products from different lenders, obtaining pre-approvals, preparing and submitting applications, and coordinating valuation, offer and completion.

We act as a broker and adviser. We are not a bank or lender, we do not lend money and we do not make lending decisions. Each engagement covers the Services we agree with you; further work you request may be agreed separately.

Lending decisions & offers

• Every mortgage is subject to the lender’s own assessment, including credit checks, valuation, underwriting and its lending policy at the time. We cannot guarantee that any application will be approved, the amount a lender will advance, or the time it will take.
• Pre-approvals are conditional and time-limited. A final offer may differ from a pre-approval if your circumstances, the property, its valuation or the lender’s policy change.
• Your mortgage is a contract between you and the lender. Its terms, including rates, fees, early settlement charges and insurance requirements, are set by the lender and are set out in the lender’s offer and loan documents, which you should read carefully before signing.
• Loan-to-value limits, minimum deposits and other requirements described on the Website reflect general market practice and UAE Central Bank rules as we understand them, and may change.

Your responsibilities

To allow us to provide the Services you agree to:

• Give us complete, accurate and up-to-date information and documents, and tell us promptly about any change in your circumstances.
• Disclose all existing loans, credit cards and other commitments, and any past credit issues, that may affect your application.
• Not submit false, altered or misleading information or documents. We will not submit an application we believe to be inaccurate, and we may be required to report suspected fraud.
• Consent to us sharing your information with the lenders and other parties needed to arrange your finance, as described in our Privacy Policy.
• Make your own decision on whether to accept any offer, having read the lender’s documents.

Rates, calculator & estimates

• Interest rates shown on the Website are indicative, may not be available to every borrower or property, can depend on conditions such as salary transfer, and may change at any time without notice.
• The mortgage calculator and any figures it produces, including monthly repayments, upfront costs and transaction fees, are estimates for guidance only. They are not an offer of finance, a quotation or advice, and actual figures will be confirmed by the lender and the relevant authorities.
• Market information, articles and guides on the Website are general information and do not take your personal circumstances into account.

Fees

Any fee payable by you for our Services will be explained to you, and agreed in writing, before you are asked to pay it. Lender charges, valuation fees, land department and registration fees, trustee fees and similar third-party costs are separate, are set by those parties and are payable as they require.

Use of the website

You agree to use the Website only for lawful purposes and in a way that does not infringe the rights of, or restrict or inhibit the use of the Website by, anyone else. You must not:

• Submit false, misleading or fraudulent information through our forms.
• Use automated tools to scrape, crawl or extract content or data from the Website without our permission.
• Attempt to gain unauthorised access to the Website, its servers, or any connected system or database.
• Introduce viruses, malware or any other harmful code, or otherwise interfere with the proper working of the Website.

We may limit the number of form submissions from a single source, and we may suspend or restrict access to the Website at any time without notice for maintenance, security or legal reasons.

Intellectual property

The Website and all of its content, including text, graphics, logos, images, videos, tools and software, are owned by or licensed to Premier Finance and Provident Real Estate and are protected by copyright, trademark and other intellectual property laws. You may view, download and print content for your personal, non-commercial use only. You must not otherwise copy, modify, distribute, republish or create derivative works from any part of the Website without our prior written consent.

Disclaimers

The Website and its content are provided on an "as is" and "as available" basis for general information only. Nothing on the Website is an offer of credit or personal financial, legal or tax advice for your specific situation; advice is given only in the course of the Services, based on the information you provide to us.

While we take care to keep the Website accurate and up to date, we make no representations or warranties, express or implied, about the completeness, accuracy, reliability or availability of the Website or its content, or that the Website will be free from errors, viruses or interruptions.

Limitation of liability

To the fullest extent permitted by law:

• We are not liable for any decision made by a lender, including a decision to decline, delay, change or withdraw an offer, or for the acts or omissions of lenders, valuers, developers, sellers, agents or other third parties.
• We are not liable for any loss arising from incomplete, inaccurate or misleading information or documents provided by you or on your behalf.
• We are not liable for any indirect, consequential or special loss, loss of profit, loss of opportunity, loss of a property purchase or deposit, or changes in interest rates or property values, however arising.
• Our total aggregate liability to you arising out of or in connection with the Services, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the fees actually paid by you to us for the Services giving rise to the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be excluded or limited under UAE law.

Indemnity

You agree to indemnify and hold harmless Premier Finance, its affiliates, officers and employees from and against any claims, losses, damages, costs and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website, or false or misleading information or documents provided by you or on your behalf.

Privacy

We collect and use personal information in accordance with our Privacy Policy, which forms part of these Terms. By using the Website or our Services you consent to that collection and use.

Governing law & disputes

These Terms, and any dispute or claim arising out of or in connection with them, the Website or the Services, are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai as applied in the onshore courts. The courts of Dubai have exclusive jurisdiction to settle any such dispute or claim.

Before commencing formal proceedings, you agree to first raise any concern with us in writing so that we have a reasonable opportunity to resolve it.

General

• Entire agreement. These Terms, together with any engagement letter or fee agreement for your case and our Privacy Policy, constitute the entire agreement between you and us in relation to the Services.
• Changes. We may update these Terms from time to time. The version in force when you engage us applies to that case. Continued use of the Website after changes are posted constitutes acceptance of the revised Terms.
• Force majeure. We are not liable for any delay or failure to perform caused by events outside our reasonable control, including changes in law or lending regulation, government action, system or utility failures, or strikes.
• Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force.
• No waiver. Our failure to enforce any right under these Terms is not a waiver of that right.
• Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights to any Provident Real Estate group company or successor.
• Language. These Terms are written in English. If translated, the English version prevails.
